Fund Formation/Investment Management Associate Attorney

Profile

A law firm is seeking a Fund Formation/Investment Management Associate Attorney to join their New York City office. The Associate Attorney will be an integral part of the Fund Formation & Investment Management (FFIM) Practice Group, contributing expertise in fund structuring, management, compliance, and client relations.

Duties:

• Lead fund formation processes, including structuring and management
• Negotiate side letters and secondary sales agreements
• Ensure compliance with the Investment Advisers Act
• Draft and review complex legal documents with precision
• Manage multifaceted projects and transactions effectively

Requirements:

• Juris Doctor (JD) from an ABA-approved law school
• Active membership in good standing with the Bar of relevant jurisdiction(s)
• 2-5 years of experience in fund formation and investment management
• Proficiency in document drafting and analysis
• Comfortable engaging with senior partners and clients directly
• Positive attitude, strong interpersonal skills, and exceptional work ethic
• Desire to thrive in a dynamic, collaborative environment

Education & Certifications:

• JD from an ABA-approved law school
• Admission to the Bar in relevant jurisdiction(s)

Skills:

• Solid experience in fund formation and investment management
• Expertise in fund and management structuring
• Strong negotiation skills for side letters and secondary sales
• Knowledge of Investment Advisers Act regulations and compliance
