Duties

• Advise clients on public offerings, private placements, and other securities sales.
• Draft and negotiate registration statements and related documents.
• Assist in entity formation and negotiation of organizational documents.
• Manage deal execution with issuers, banks, and advisors.
• Communicate with regulatory bodies to obtain clearances.
• Draft compliance documentation for NYSE and NASDAQ filings.
• Review public disclosure and securities filings.

Requirements

• Qualified to practice law in New York.
• Active member in good standing with the New York Bar Association.
• 2-5 years of capital markets experience; SPAC experience preferred.
• Strong drafting, analytical, and communication skills.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Admission to the New York State Bar.
