Job Overview

A law firm seeks a mid-level associate to join its Fund Formation group in Boston, MA. The ideal candidate will focus on growth equity and venture capital fund formation, with experience in corporate, tax, or investment management at a top-tier law firm. Experience with venture capital, private equity, or growth equity funds, and compliance with relevant regulatory requirements, is strongly preferred.

Duties

• Advise funds in all stages of operations, including preparing offering materials.
• Draft partnership, limited liability company, and other governing agreements.
• Negotiate with investors and counsel fund managers on securities law and regulatory matters.
• Provide guidance on general fund operations, including investments.

Requirements

• JD from 2021-2022.
• Previous large law firm experience required.
• High level of academic achievement from a nationally recognized law school.
• Strong preference for candidates licensed to practice law in Massachusetts and in good standing.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in Massachusetts preferred.

Skills

• Strong understanding of fund formation and regulatory compliance.
• Excellent negotiation and drafting skills.
• Ability to advise on complex legal and operational matters.
