Mergers and Acquisitions Associate Attorney

A law firm in Richmond, VA, is seeking a Mergers and Acquisitions Associate Attorney with 3-5 years of strong transactional experience, including M&A and general corporate work. The ideal candidate should have strong academics, analytical skills, and experience working with privately held companies. Handle corporate transactions with direct client contact and negotiate national and international M&A deals. Finance and private equity experience are beneficial.

Job Duties:

• Handle various corporate transactions, including M&A, general corporate work, and private equity transactions.
• Conduct due diligence reviews and analyze legal issues related to transactions.
• Draft and review transactional documents, including purchase agreements, shareholder agreements, and financing documents.
• Communicate directly with clients and advise them on legal matters related to transactions.
• Negotiate terms and agreements with counterparties.
• Collaborate with partners and senior attorneys on deal structuring and strategy.
• Manage multiple transactions simultaneously and meet deadlines.

Requirements:

• 3-5 years of strong transactional experience, including M&A and general corporate work.
• Strong academic credentials from a reputable law school.
• Experience working with privately held companies.
• Admission to practice law in Virginia or eligibility to be licensed.
• Finance and private equity experience preferred.
• Excellent analytical, communication, and negotiation skills.
• Ability to work independently and as part of a team.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to practice law in Virginia or eligibility to be licensed.
