Duties

• Lead or manage mergers and acquisitions, private equity investments, and leveraged buyout transactions.
• Contribute to capital markets transactions.
• Advise on corporate governance matters and venture capital investment transactions.
• Assist with private offerings of equity and/or debt securities.
• Provide guidance on Forms 10-K, 10-Q, and 8-K filings and proxy statements.
• Collaborate with teams on dynamic, fast-paced transactions for national clients.

Requirements

• Active attorney license in Arizona or applicable jurisdiction.
• Three to five years of relevant experience in corporate law.
• Strong writing, analytical, and organizational skills.
• Leadership and communication abilities.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Licensed to practice law in Arizona or applicable jurisdiction.

Skills

• Experience in mergers and acquisitions and private equity transactions.
• Knowledge of corporate governance and capital markets.
• Proficiency in legal documentation and filings.
