Job Overview

A law firm seeks a mid-level capital markets and M&A associate to join its practice in Dallas, TX. The ideal candidate will have 3-5 years of experience in capital market transactions and public company reporting and compliance.

Duties

• Represent issuers in public and private offerings of debt and equity securities.
• Interface with the SEC and other regulators.
• Counsel public companies on disclosure, corporate governance, and compliance matters.
• Prepare Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Engage in public and private company M&A transactions.

Requirements

• 3 to 5 years of relevant experience.
• Strong interpersonal and communication skills.
• Ability to manage internal and external client relationships effectively.
• Reside in the Dallas area at or prior to the time of hire.
• Work in the office at least three business days per week.

Education

• JD from an ABA-accredited law school.

Certifications

• Licensed or eligible to become licensed in the state of Texas.

Skills

• High degree of maturity and business sense.
• Excellent academic credentials.
• Experience in large regional, national, or international law firms preferred.
