A law firm seeks a Corporate SPAC Associate in New York, United States. This role involves working with partners to execute capital markets transactions and assist clients in compliance with securities-based legal requirements.

Duties

• Advise clients on public offerings, private placements, and other securities sales.
• Draft and negotiate documents related to securities offerings.
• Assist in forming new entities and structuring organizational documents.
• Manage deal execution with issuers, banks, and advisors.
• Communicate with regulatory bodies to obtain clearances.
• Draft proxy statements and provide corporate governance guidance.
• Prepare and review issuer filings required by the Exchange Act.

Requirements

• Qualified to practice law in New York.
• Active member in good standing with the New York Bar Association.
• 4-8 years of capital markets experience; SPAC experience preferred.
• Strong drafting, analytical, and communication skills.

Education

• Juris Doctor (JD) degree.

• Admission to the New York State Bar.
