Job Title: Mid-level Corporate Mergers, Acquisitions, And Private Equity Associate Attorney
Job Overview:
A prestigious law firm based in New York City is seeking a mid-level associate with robust experience in complex corporate transactions, including domestic and cross-border mergers and acquisitions, private equity deals, and joint ventures. The ideal candidate will be a driven legal professional with strong drafting skills, transactional leadership experience, and a keen understanding of strategic business structures. Duties:
Represent corporate clients, including private equity firms, financial sponsors, strategic investors, and public/private companies, in transactional matters
Oversee all phases of M&A deals, from structuring and due diligence to drafting, negotiation, and closing
Prepare and negotiate a variety of transaction documents, including purchase agreements, shareholder and operating agreements, equity commitment letters, term sheets, and disclosure schedules
Lead and coordinate due diligence efforts, including document review, issues identification, and insurance-related processes
Provide strategic legal advice on post-closing integration and general corporate governance
Manage client communications, regulatory updates, and stakeholder interactions across all stages of the transaction
Supervise and mentor junior attorneys and legal staff; review and refine their work product
Maintain corporate records such as structure charts, D&O charts, and confidentiality agreements
Monitor industry developments and regulatory trends to provide tailored legal insight
Collaborate with cross-functional teams and international counsel on multi-jurisdictional matters
Facilitate closing logistics, including checklist maintenance and document execution
Support business development efforts and contribute to internal strategy discussions
Requirements:
Minimum 3 years of relevant post-JD experience at a law firm handling high-value M&A and private equity transactions
Demonstrated experience managing complex deals and communicating directly with clients and counterparties
Familiarity with both public and private transactional work, including take-private, carve-out, and distressed acquisitions
Experience in preparing comprehensive legal analyses, negotiating bespoke contractual terms, and managing internal deal teams
Proficiency in managing cross-border elements of transactions and liaising with local counsel and specialists
Education:
Juris Doctor (J.D.), LL.M., or equivalent U.S. legal degree required
Certifications:
Admission to the New York State Bar is required
Skills:
Deep understanding of corporate transactional law, private equity structuring, and strategic partnerships
Strong drafting, analytical, and organizational skills
Proven ability to lead deals and delegate effectively across all phases
