Duties:

• Advise clients on structuring and negotiating business transactions

• Draft and review contracts related to mergers, acquisitions, and business sales

• Assist in entity formation, governance, and operational structuring

• Conduct legal due diligence and prepare related documentation

• Collaborate with internal teams on tax, real estate, and succession planning matters

• Engage in client development initiatives and contribute to strategic business counseling

Requirements:

• 0-5 years of experience handling corporate transactions

• Demonstrated interest or coursework in business planning, M&A, or transactional law

• Strong legal research, writing, and analytical skills

• Excellent attention to detail and organizational abilities

• Commitment to client service and team collaboration

Education:

• Juris Doctor (JD) from an accredited law school

• Undergraduate focus in accounting, finance, economics, or a related business field preferred

Certifications:

• Active and good standing with the Pennsylvania Bar or eligibility for admission
