Job Overview

A law firm seeks a highly motivated and experienced transactional attorney to join its team in Irvine, CA. This full-time, on-site position offers a dynamic work environment and the opportunity to engage in complex corporate and real estate transactions.

Duties

• Draft and revise commercial leases and purchase and sale agreements.
• Conduct title and survey reviews and manage closing transactions.
• Advise on entity formation, joint ventures, compliance, and record maintenance.
• Prepare and negotiate business, broker, and consultant contracts.
• Draft and negotiate confidentiality agreements and letters of intent.
• Manage data rooms and oversee the due diligence process.
• Negotiate and document third-party financing.
• Prepare documents for mergers, acquisitions, and reorganizations.
• Draft legal opinions for real estate closings.
• Oversee closings of multi-property portfolios.

Requirements

• Admitted to the California State Bar.
• Over 10 years of experience in commercial real estate transactions, M&A, and corporate law.
• Strong skills in analyzing, negotiating, and drafting legal documents.
• Ability to manage a large number of transactions independently.
• Excellent communication and interpersonal skills.

Education

• Juris Doctor (JD) degree.

Certifications

• California State Bar admission.
