Duties

• Draft, review, and negotiate corporate and commercial agreements.
• Advise on governance, regulatory compliance, and entity maintenance.
• Support mergers and acquisitions, private placements, restructurings, and cross-border transactions.
• Collaborate with attorneys in other jurisdictions on multi-state and international issues.
• Deliver practical, business-focused legal counsel to clients.

Requirements

• J.D. and active California bar admission.
• 4+ years of corporate/transactional experience in a firm or sophisticated in-house role.
• Strong drafting, analytical, and multitasking skills.
• Experience with private company transactions preferred; cross-border exposure a plus.
• Proactive communicator comfortable working remotely.

• Juris Doctor (J.D.)
