Job Overview: A law firm is seeking a Senior Level Corporate Attorney fluent in Mandarin and English with 5+ years of experience in securities and corporate law. The ideal candidate should have extensive knowledge of registered securities offerings, SEC regulations, mergers & acquisitions, and general corporate law. The role requires excellent interpersonal skills, attention to detail, and a proactive approach to managing client relationships.

Duties:

• Provide legal counsel and representation to clients on securities and corporate law matters.
• Conduct legal research and analysis related to SEC regulations, ’33 Act Registration Statements, and ’34 Act periodic filings.
• Assist clients with registered securities offerings, PIPEs, mergers & acquisitions, and general corporate counseling.
• Draft and review legal documents, including agreements, contracts, and transactional documents.
• Advise clients on regulatory requirements and compliance issues.
• Manage client relationships and strive to achieve the best possible outcomes for clients.

Requirements:

• New York Bar admission is required.
• 5+ years of experience in securities and corporate law.
• Fluent in Mandarin and English.
• Extensive knowledge of SEC regulations, registered securities offerings, mergers & acquisitions, and general corporate law.
• Experience working with high-growth, early-stage businesses, and active investors.
• Strong interpersonal communication skills.
• Detail-oriented with exemplary attention to detail.
• A self-motivated and proactive approach to managing client relationships.

Education and Certifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the New York Bar.
