Duties

• Draft and negotiate private placement memoranda and subscription agreements.
• Form and operate various private investment funds and funds of funds.
• Prepare limited partnership and operating agreements.
• Draft side letters and investment management agreements.
• Collaborate with M&A teams on relevant transactions.

Requirements

• Experience with private offerings and fund formations.
• Strong organizational and writing skills.
• Excellent academic credentials.
• Desire to excel in a large law firm environment.
• Licensed and in good standing in the state of practice or prepared to sit for the bar exam.

Education

• Juris Doctor (JD) degree required.

Certifications
