Location:

Duties:

• Provide legal counsel on corporate governance, mergers and acquisitions (M&A), securities, and finance matters
• Draft and negotiate transactional documents such as contracts, financing agreements, and corporate governance documents
• Advise clients on fund formation, securities compliance, and regulatory matters, including private placements and public offerings
• Conduct legal research and provide strategic guidance on corporate and securities regulations
• Assist in negotiating, managing due diligence processes, and closing complex transactions
• Collaborate with senior attorneys and other team members on high-stakes matters

Requirements:

• 3+ years of experience in corporate law, mergers and acquisitions (M&A), fund formation, finance, or securities
• In-depth knowledge of corporate and securities law and regulations
• Proven experience drafting and negotiating transactional documents
• Strong academic credentials
• Excellent verbal and written communication skills
• Ability to manage multiple priorities and meet deadlines effectively
• Applicable bar admission in one of the specified jurisdictions

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admission to practice law in New Jersey

Skills:
