A law firm seeks a Global Equity Junior Associate to join its team in Palo Alto, CA. This role involves advising multinational companies on employee equity compensation and incentive arrangements across various jurisdictions. The position offers the opportunity to work on sophisticated international compensation, tax, securities, regulatory, data privacy, labor law, and corporate transactional matters.

Duties

• Advise on the design and administration of global equity compensation and employee stock purchase plans.
• Assist with international legal, tax, employment, exchange control, securities, and regulatory issues.
• Draft, review, and negotiate documentation related to equity incentive plans and stock options.
• Support corporate transactions involving employee stock plans and equity awards.
• Conduct legal research and prepare analyses on global equity compliance requirements.
• Coordinate with local counsel to implement international equity compensation programs.
• Advise on evolving global tax, securities, employment, labor, and data privacy requirements.
• Collaborate with attorneys on complex cross-border matters.

Requirements

• Minimum of 2 years of experience in executive compensation, employee benefits, global equity, tax, or related corporate transactional matters.
• Experience with cross-border transactions and international employment issues preferred.
• Strong analytical, drafting, communication, and project management skills.
• Ability to manage multiple matters and client relationships in a fast-paced environment.

Education

• Juris Doctor (J.D.) from an accredited law school (LLM preferred).

Certifications

• Licensed to practice law in California.

Skills

• Experience with global equity compensation and incentive plans.
• Knowledge of cross-border employment and labor law issues.
• Understanding of international tax and regulatory considerations.
• Familiarity with securities law compliance related to equity compensation.
• Ability to provide practical, business-oriented legal advice.
