Duties
- Advise public company clients on disclosure obligations under federal securities laws
- Assist with compliance regarding major U.S. exchange listing standards
- Support clients in SEC interactions, including filing preparation and communications
- Draft and review Exchange Act filings, such as Forms 10-K, 10-Q, 8-K, and proxy statements
- Provide legal counsel on executive and director compensation disclosures
- Assist with capital markets transactions, including equity and debt offerings
- Collaborate on M&A transactions, joint ventures, and capital markets offerings
- Stay informed on securities law developments, corporate governance, and executive compensation trends
- Advise clients on risk mitigation, corporate governance, and compliance strategies
Requirements
- Juris Doctor (J.D.) from an ABA-accredited law school
- 2-5 years of experience in public company advisory work
- Experience drafting and reviewing Exchange Act filings (Forms 10-K, 10-Q, 8-K, and proxy statements)
- Strong knowledge of U.S. stock exchange listing standards
- Understanding of executive and director compensation disclosures
- Experience in equity and high-yield debt offerings, as well as M&A transactions (preferred)
- Excellent communication and client management skills
- Ability to work collaboratively in a team environment across industries
