Senior Legal Counsel

The candidate will report to the Corporate Counsel and Senior Director of Legal and will support the Legal team and internal business units primarily by drafting, reviewing, negotiating, and advising on a wide variety of commercial contracts in accordance with policies to effectively and efficiently serve many internal clients while protecting the interests. Will also perform certain corporate compliance functions, support cross-border transactions, and participate in a variety of corporate legal undertakings and projects as assigned in support of AAI's strategic business and legal objectives. Specific Responsibilities: Draft, review and negotiate terms and conditions concerning equipment and engineering services or professional services agreements, subcontract agreements, nondisclosure agreements, product development, licensing and similar intellectual property related agreements and other company agreements. Interpret and clarify for internal clients and other parties concerning contract terms and conditions. Review contract requirements and advise on associated contract and compliance issues. Participate in design, implementation and education concerning company policies and procedures, as assigned. Conduct research and provide counseling on contractual, compliance, intellectual property and other matters. Coordinate frequently with subsidiaries of Advantest America, Inc. and globally with companies in Advantest Group. Other duties in connection with the foregoing. Law degree from an accredited US law school is required; Should be Admitted to practice in California; Strong academic credentials highly desired. Approximately 7+ years' relevant experience with a law firm and/or in-house legal department including experience with most if not all matters described above; prior law firm experience and experience in-house in multi-national technology corporation is highly desired. Expertise in commercial business transactions, including sales and purchase contracts in technology related equipment and engineering services, manufacturing and supply; intellectual property related considerations including licensing, IP ownership and risk allocation; corporate compliance; cross-border projects is required. Familiarity with intellectual property considerations, data privacy and other compliance matters highly desired.
