Banking and Finance or General Business Attorney

A law firm in Cedar Rapids, IA, is seeking a Banking and Finance or General Business Attorney. The attorney will be responsible for a variety of legal matters related to banking, finance, corporate governance, and general business. They should have a strong understanding of the Uniform Commercial Code (UCC), experience conducting due diligence, drafting loan and collateral documents, and reviewing and negotiating loan agreements for sophisticated borrower clients. Additionally, they should possess general corporate law experience advising private companies on corporate governance matters and other general business matters. The ideal candidate should have excellent academic credentials and strong writing, analytical, organizational, leadership, and communication skills.

Duties:

• Conduct due diligence in banking and finance transactions
• Draft loan and collateral documents, including those encumbering personal property and real estate
• Prepare loan modification agreements
• Review and negotiate loan and collateral documents for sophisticated borrower clients
• Advise private companies on corporate governance matters
• Provide legal counsel on general business matters
• Conduct legal research and analysis
• Communicate effectively with clients, colleagues, and opposing counsel
• Manage deadlines and prioritize tasks efficiently

Requirements:

• 5+ years of law firm or equivalent experience
• Experience in corporate finance and commercial lending
• Strong understanding of the Uniform Commercial Code (UCC)
• Excellent academic credentials
• Strong writing, analytical, organizational, leadership, and communication skills

Education & Certifications:

Juris Doctor (J.D.) from an accredited law school
