Job Overview:
A distinguished law firm located in Cincinnati, OH, is actively seeking a mid-level associate with 3-5 years of relevant experience to join its thriving Business Law division. The selected candidate will support a dynamic Capital Markets, Securities, and Corporate Governance practice, offering legal services to both regional and national clientele. This role involves working closely with a cross-office team on a broad range of public and private securities transactions and corporate governance matters.

Duties:

• Draft and review filings such as Forms 8-K, 10-Q, 10-K, S-1, S-3, S-4, registration statements, Section 16 forms, and proxy statements

• Advise on securities law compliance, disclosure obligations, and listing requirements

• Assist in structuring and executing public offerings and private placements

• Provide legal guidance in connection with mergers, acquisitions, and strategic corporate transactions

• Contribute to the preparation and maintenance of governance materials, including board minutes, committee charters, and policy frameworks

• Advise on shareholder meeting procedures and compliance obligations

• Coordinate and implement 10b5-1 trading plans and insider trading policies

• Support clients in corporate governance evaluations and initiatives

Requirements:

• 3 to 5 years of experience practicing law, with direct exposure to securities and capital markets matters

• Strong understanding of SEC regulations, disclosure rules, and market practices

• Proficiency in drafting complex legal documents and regulatory filings

• Demonstrated ability to manage competing deadlines in a high-volume, detail-driven environment

• Strong interpersonal and communication skills suitable for collaborative team settings

Education:

• Juris Doctor (J.D.) degree from an accredited law school

Certifications:

• Active license to practice law in the state of Ohio
