Corporate Attorney

Profile

A law firm in Mountain View, CA, is seeking an experienced Corporate Attorney with expertise in M&A and Venture Capital/Emerging Companies. The ideal candidate should hold State Bar of California membership and possess at least 5 years of relevant experience.

Duties:

• Provide legal advice and counsel on corporate matters, including mergers and acquisitions, venture capital financing, and emerging company transactions.
• Draft, review, and negotiate various corporate agreements, including purchase agreements, shareholder agreements, and financing documents.
• Conduct legal due diligence reviews for mergers, acquisitions, and investments.
• Advise clients on corporate governance matters and compliance issues.
• Assist in the structuring and formation of business entities.
• Represent clients in corporate transactions and negotiations.

Requirements:

• Membership in the State Bar of California.
• Bachelor's degree in Law or related field (Juris Doctor preferred).
• Minimum of 5 years of experience practicing corporate law, focusing on M&A and Venture Capital/Emerging Companies.
• Proven track record of handling complex corporate transactions.
• Strong understanding of corporate governance principles and securities regulations.
• Excellent analytical, negotiation, and communication skills.
• Ability to work effectively in a fast-paced environment and manage multiple priorities.

Education:

• Bachelor's degree in Law or related field required.
• Juris Doctor (JD) degree preferred.

Certifications:

• State Bar of California membership is required.
