Corporate Counsel - Commercial Contracts
The candidate will prepare, review, negotiate, draft, and finalize a wide variety of contracts including nondisclosure agreements, maters service agreements, statements of work, distributor agreements, agency agreements, supply agreements, negotiable instruments, leases, and other legal documents so as to protect and safeguard Matthews' corporate interests. Advise and counsel internal teams with respect to the legal issues and risks associated with commercial engagements, and the legal implications of proposed transactions or projects. Respond to requests for information from internal staff and provides counsel as required regarding internal inquiries. Ensure compliance with the organization’s structure, policies, and procedures while maintaining open communication and good working relationships. Assist in further refining and updating all standard boilerplate templates for commercial engagements and transactions. Manage multiple daily assignments and support deadlines established by commercial teams for review and return of contracts and agreements. Additional duties as assigned. Bachelor’s Degree in Law or related field. Advanced degree (MBA, Master’s) preferred. Should have 8+ years of progressive legal experience in a law firm and 5+ years in a leadership role. Periodic travel either locally, nationally, and/or internationally may be required.
