Contract Negotiations and Compliance Manager

Responsibilities: Work with executive management to evaluate risks and liability exposure during the bid and contract negotiation process. Manage the contracts database used to track, summarize and analyze every contract. Oversee compliance and performance obligations of contracts. Act as liaison and support to facilitate business between the parties and coordinate resolution of minor conflicts. Execute lifecycle contract administration functions; at times, this includes light negotiation on terms. Based on risk profile of business need and supplier profile, determine appropriate contracting vehicle to use. Manage new contracts, contract renewals and due diligence requirements for HQ and subsidiary offices including drafting and/or reviewing new and existing contracts and producing and/or editing contract addendums and extensions. Work with internal teams to confirm scopes of work, pricing and terms, and compliance requirements. Manage and act to avoid conflicts of interest, preserve the Company’s position, and minimize risks. Ensure accuracy, completeness, compliance of third-party contractors, and timeliness of execution. Collaborate, coordinate, and communicate effectively and professionally with internal and external parties and stakeholders. Recommend process improvements to scale and optimize contracting activities and practices. Maintain electronic records of all versions of contracts. Participate in special projects.
