Location

Duties

• Represent public and private companies in capital markets transactions

• Advise clients on public company reporting and compliance matters

• Draft and review offering documents, SEC filings, and related corporate documents

• Work closely with partners and senior attorneys on transactional matters

• Participate in due diligence and prepare closing documentation

• Manage client communications and transaction timelines effectively

Requirements

• Minimum of 3 years of experience practicing corporate law

• Specific experience in capital markets transactions and/or public company representation

• Demonstrated ability to manage aspects of complex transactions independently

• Track record of delivering high-quality work under tight deadlines

Education

• Juris Doctor (J.D.) from an accredited law school

Certifications

• Active and in good standing with the State Bar of California, or eligible for admission

• Strong drafting, negotiation, and analytical skills
