A highly respected law firm is seeking a partner-level Fund Formation Attorney to join its expanding business practice group. This role involves advising leading investment firms and fund sponsors on complex fund formation, regulatory compliance, and investor negotiations across a wide range of industry sectors. Location

• New York City, NY

Duties

• Lead and manage the formation of private investment funds, including venture funds, venture studios, incubators, accelerators, private equity funds, and crypto venture funds

• Draft and negotiate fund documents, including limited partnership agreements, subscription agreements, and private placement memoranda

• Advise clients on fund structuring, regulatory compliance, and capital raising

• Counsel fund managers and investors on ongoing operational and governance issues

• Assist clients with corporate governance matters, including fiduciary duties and conflict of interest issues

• Ensure compliance with federal and state securities laws and SEC regulations (Investment Company Act, Investment Advisers Act)

• Prepare securities filings and reporting requirements

• Negotiate and draft transactional documents for fund-related investments

• Collaborate with cross-practice teams on multi-disciplinary client matters

• Support M&A transactions, joint ventures, and other corporate transactions involving fund clients

• Participate in client development, marketing initiatives, and maintain strong client relationships

• Monitor and interpret industry trends to provide proactive legal guidance

Requirements

• Minimum of 7 years of experience advising on private equity, real estate, venture capital, and other illiquid asset fund formations

• Proven ability to independently manage significant client matters

• Experience in drafting, negotiating, and advising on fund documentation and compliance issues

Education

• Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

• Active license to practice law in at least one U.S. jurisdiction
