A reputable law firm is seeking a lateral associate with expertise in private credit and syndicated debt finance to join its Corporate Finance team in New York. The ideal candidate will have experience with private equity acquisition finance, liability management, or special situations finance, and will have represented either borrowers, lenders, or both. This role offers an opportunity to work on complex finance transactions with a collaborative and dynamic team.

Duties

• Represent clients in private credit and syndicated debt finance transactions.
• Provide legal counsel on private equity acquisition finance, liability management, and special situations finance matters.
• Draft and review complex financing documents including loan agreements, credit agreements, and related transaction documents.
• Collaborate with clients and internal teams on structuring and negotiating finance deals.
• Conduct legal research and analysis on financing regulations and market trends.
• Manage client communications and assist with maintaining relationships.
• Assist in managing and executing transactions from start to finish.

Requirements

• 3-8 years of experience in private credit, syndicated debt finance, or related corporate finance matters.
• Experience with private equity acquisition finance, liability management, or special situations finance is preferred.
• Representation experience of borrowers, lenders, or both in finance transactions.
• Strong negotiation and drafting skills.
• Ability to manage multiple transactions and prioritize effectively.
• Solid understanding of financial products and market conditions.

Education

• J.D. (Juris Doctor) degree from an accredited law school

Certifications

• Active license to practice law in New York

Skills

• Strong experience in syndicated debt finance, private credit, and private equity acquisition finance.
• Expertise in structuring, negotiating, and drafting complex finance agreements.
• Excellent analytical, research, and problem-solving skills.
• Strong communication skills, both written and verbal.
• Ability to work in a fast-paced, high-pressure environment.
• Proficient in Microsoft Office and legal research tools.
