Job Title: Senior-Mid-Level Asset Management Associate Attorney

Job Overview:
A prominent law firm in Chicago, IL, is seeking a highly motivated senior to mid-level associate to support its asset management and private investment funds practice. This opportunity is ideal for an attorney with deep familiarity in advising asset managers and fund sponsors on regulatory obligations, fund formation, and ongoing compliance under the Investment Advisers Act and related legal frameworks. The role will involve hands-on client engagement and leadership in complex fund structuring projects across private equity, hedge, and hybrid investment vehicles.

Duties:

• Advise fund sponsors and asset managers on federal regulatory compliance, including obligations under the Investment Advisers Act

• Lead formation and structuring of private investment funds, including hedge funds, private equity funds, and other pooled investment vehicles

• Draft, review, and negotiate fund offering documents, management agreements, and investor documentation

• Conduct regulatory analyses related to investment adviser registration, compliance policies, and examination readiness

• Support transactional due diligence and fund-related regulatory disclosures

• Collaborate with tax, ERISA, and securities law practitioners on complex fund structures

• Monitor regulatory developments affecting asset management and assist clients with implementation strategies

• Mentor junior associates and contribute to knowledge sharing within the practice group

Requirements:

• Relevant experience in asset management or investment funds law

• Proven ability to manage client relationships and deliver legal solutions on time-sensitive matters

• Experience advising on fund compliance programs and regulatory filings

• Familiarity with SEC and CFTC rules applicable to private fund advisers

Education:

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

• Admission to the Illinois Bar in good standing (or ability to waive in)

• Active law license in at least one U.S. jurisdiction

Skills:

• Deep understanding of the Investment Advisers Act and related federal securities regulations

• Strong drafting and negotiation skills

• Ability to work independently and collaboratively in a fast-paced legal environment
