Deputy General Counsel
Duties: Actively supports the Company’s commitment to safety and its “Core Values.” Represents the Company at all times with high moral standards while adhering to the Company’s “Code of Business Conduct and Ethics.” Provides day-to day legal advice and counsel in multiple areas of the law, including but not limited to, construction, commercial, business organizations, international registrations, employment and labor for merit and union subsidiaries, regulatory issues and insurance. Assists the VP, General Counsel as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Acts as liaison between clients, subcontractors, vendors, suppliers and division and/or corporate office personnel on contract issues. Coordinates with outside counsel as necessary. Performs review of commercial contracts with potential and existing clients, ensuring appropriate terms and conditions are incorporated. Negotiates terms and conditions of large capital EPC projects with client’s point of contact, bridging communication between Operations and the Legal Department. Qualifies subcontractors, reviews and negotiates changes to standard subcontracts. Manages associated claims or disputes arising from such work. Monitors, provides oversight and manages legal staff in providing commercial management support on projects. In consultation with the VP, General Counsel monitors and manages claims and disputes. Evaluates the merits of legal claims filed against or on behalf of the Company, works with the appropriate executive(s) to define a strategic defense and, recommends settlements of disputes where warranted. Provides hands-on counsel to all levels of executive staff and manages the operations of the Company legal department. Provides advice and consultation to direct reports and the legal staff on ethics, regulatory issues and substantive legal questions. Identifies and analyzes legal issues, drafts key documents, presents clear recommendations to limit risk and maximize benefits to top management, and assures legal compliance. Participates in the definition and development of corporate policies, procedures and programs. Assesses and advises on current and future business structures, financial transactions and legal entities. Develops and conducts company training on legal topics including project specific training (turnover, refresher, and closeout). Keeps informed on case law and legislative changes that affect the Company. Manages and actively participates in the management of information technology resources used to support and manage litigation and legal department workflow. Directs the work of and actively participates, as necessary, in achievement of responsibilities and objectives of subordinate personnel; ensures individual goals advance strategic direction of the Company; interviews, hires, trains and terminates subordinate personnel. Performs additional responsibilities, as needed or requested.
