A law firm seeks an experienced associate in New York to join its Alternative Asset Opportunities team, advising on sophisticated and specialized transactions across private equity, credit, real estate, venture capital, and infrastructure for institutional investors worldwide.
Duties
Draft, review, and negotiate complex transaction documents such as purchase agreements, partnership agreements, and financing instruments
Perform comprehensive due diligence and risk analyses to identify legal issues and propose solutions
Counsel clients on regulatory and compliance matters affecting alternative asset investments
Coordinate with tax, regulatory, and litigation specialists to develop integrated legal strategies
Lead negotiations on behalf of clients, safeguarding their interests during deal structuring and execution
Advise on structuring and implementing secondary market transactions, including cross-border considerations
Guide the formation and organization of private equity and venture capital funds
Monitor industry trends, legislative updates, and regulatory shifts that impact alternative asset classes
Cultivate and maintain strong client relationships through clear communication and service excellence
Mentor and oversee junior attorneys, offering feedback and support for their professional growth
Contribute to business development efforts by participating in client presentations and networking initiatives
Research and prepare detailed legal memoranda and opinions on complex issues related to alternative investments
Requirements
3–6 years of law practice experience focused on alternative asset transactions (private equity, credit, real estate, venture capital, and/or infrastructure)
Proven track record of managing complex deal negotiations and transactional documentation
Demonstrated proficiency in conducting legal due diligence and risk assessments
Ability to collaborate effectively with multidisciplinary teams (tax, regulatory, litigation)
Strong client-relations aptitude with an entrepreneurial mindset
Admission to the bar in the relevant jurisdiction (New York)
Education
J.D. from an accredited law school
