Associate Vice President, Legal

The candidate reports to the Senior Vice President, Legal and is responsible for handling various legal matters involving the company. Duties and Responsibilities: Provide counsel, advice, and other legal services to the company regarding certain subject matters, including, without limitation, mergers and acquisitions, financing transactions, a broad scope of complex commercial transactions, corporate governance, entity management, membership, and other business-related matters; Draft contracts, agreements, letters, legal memoranda, and other legal and non-legal documents; Provide a wide range of legal services, including in connection with mergers, acquisitions and joint venture arrangements or other strategic partnerships, debt and equity financing transactions, commercial contracts, technology and privacy issues, international transactions, entity formation and management; Assist in the effective retention, management, and efficient use, of outside counsel; Review and interpret case law, statutes, regulations, and pending legislation; Examine public relations materials, advertising, promotional, and other similar materials for legal implications; Deliver a service-oriented, collaborative, problem-solving approach to all internal clients; Display initiative, creativity, problem solving, and sound decision-making in fast paced and complex industry and work environment. A Juris Doctor required. should have 10+ years of professional legal experience in a corporate or law firm environment. Significant experience in corporate and transactional law is required. Generalist experience in a corporate legal department also a plus. Must have thorough knowledge of corporate law and transactional law, and related drafting skills.
