Associate Counsel
The candidate will be working closely with all internal teams to include People Operations, Finance, Accounting, Marketing, Business Development, and International, Operations, Technology and Privacy & Information Security. Negotiating complex commercial agreements, digital membership agreements, MSAs, SaaS agreements, SOWs, partnership agreements, technology services agreements, and uniquely solutioned agreements premised on business needs. Providing support to our business partners on contract interpretation. Communicating and collaborating with all business stakeholders to understand business objectives and provide legal advice. Managing litigation including but not limited to employment law, general liability claims, negotiation of contracts, mediations, arbitrations, and the like. Partnering with Privacy and Information Security team for product immersion, security protocols, data management, licensing and rights of access related to software and the transfer of PII/PHI. This work includes modifying/drafting privacy policies and terms of service, BAAs, and understanding infringement issues. Assisting with corporate governance regarding entity management, business licenses and communication with the Finance. Advising senior leadership on approaches to negotiation and settlements. Strong business acumen and experience dealing with procurement teams. Other duties as assigned.
