A law firm seeks a Corporate Capital Markets Associate (Junior) for its West Palm Beach office. This full-time position offers the opportunity to work with a diverse range of clients across various industries.

Duties

• Assist in public and private equity offerings, including initial and follow-on offerings.
• Prepare proxy statements and S-4 registration statements for business combinations.
• Interface with the SEC and other regulatory bodies.
• Advise on ongoing reporting requirements under the '34 Act.
• Represent issuers and underwriters in various transactions.
• Provide day-to-day counsel on corporate governance matters.

Requirements

• 2-3 years of experience in capital markets and securities law.
• Experience with SPACs and deSPAC transactions is beneficial.
• Strong academic background and client management skills.
• Proficient in drafting and negotiation.
• Admitted to the Florida Bar or eligible for admission.

Education

• Juris Doctor (JD) degree.

Certifications

• Florida Bar admission or eligibility.
