A law firm seeks a Public Companies and Capital Markets Associate in San Francisco. The ideal candidate will have a minimum of five years of experience in public company and capital market matters, including SEC compliance and governance. Duties

• Manage public company reporting compliance and governance.
• Address day-to-day issues for public companies, including SEC and Nasdaq/NYSE compliance.
• Represent issuers or investment banks in capital markets transactions.
• Handle IPOs, equity/debt offerings, PIPEs, and at-the-market offerings.

Requirements

• Minimum of five years of relevant experience.
• Extensive knowledge of SEC compliance and disclosure matters.
• Experience with Nasdaq/NYSE compliance.
• Experience with technology and/or life sciences companies preferred.

Education

• Juris Doctor (JD) degree required.

Certifications

• Active bar membership in good standing.
