Job Overview
A law firm seeks an Emerging Companies and Venture Capital Associate in Nashville, TN. The ideal candidate will support clients in various corporate and transactional matters, providing legal guidance from company formation to exit strategies.

Duties

• Advise emerging companies and venture capital investors on corporate and transactional matters.
• Draft and negotiate venture capital financing documents, including term sheets and convertible notes.
• Provide legal guidance on corporate governance, including board and shareholder issues.
• Support mergers and acquisitions, joint ventures, and strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to private companies.
• Manage internal and external client and counsel relationships.

Requirements

• 3 to 5 years of relevant experience.
• JD from an ABA-accredited law school.
• Licensed or eligible to become licensed to practice law in Tennessee.
• Reside in the Nashville area at or prior to the time of hire.
• Work in the office at least three business days per week.

Education

• Juris Doctor (JD) from an ABA-accredited law school.

Certifications

• Licensed to practice law in Tennessee or eligible for licensure.

Skills
