Duties

• Represent startups, investors, and venture funds in seed, Series A–C, and later-stage financings.

• Draft and negotiate financing documents, including SAFEs, convertible notes, and preferred stock purchase agreements.

• Advise on corporate governance, board matters, equity management, and cap table strategy.

• Support emerging companies through formation, growth, and operational legal needs.

• Assist with technology, SaaS, and life sciences transactions.

• Work on M&A and exit transactions involving venture-backed companies.

• Collaborate with partners, founders, and investors in a fast-paced deal environment.

Requirements

• 1–10+ years of venture capital, emerging companies, or corporate transactional experience.

• Experience with startup or fund-side financing work.

• Strong drafting and negotiation skills for fast-moving deals.

• Comfort with cap table math, investor documents, and governance structures.

• Juris Doctor (JD) from an accredited law school.

• Admission to the bar in at least one U.S. jurisdiction.
