Duties

• Advise on the tax aspects of domestic and cross-border M&A transactions, private equity deals, and restructurings.
• Structure deals to optimize tax outcomes and ensure regulatory compliance.
• Draft and review transactional documents, including purchase agreements and tax provisions.
• Conduct due diligence and evaluate tax risks associated with potential transactions.
• Provide strategic tax advice to clients in various industries.
• Collaborate with corporate, finance, and real estate attorneys during deal execution.
• Monitor legislative developments and regulatory updates impacting transactional tax planning.

Requirements

• 20 years of legal experience with a strong focus on transactional tax and M&A.
• Demonstrated expertise in corporate and partnership tax matters.
• Extensive experience advising on private equity transactions and corporate restructurings.
• Proven ability to manage multiple transactions and work under tight deadlines.
• Strong business acumen and client service orientation.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Admission to the New York State Bar (or eligibility for admission).

• Deep knowledge of U.S. federal income tax laws, including Subchapter C and K.
