Duties:

• Provide comprehensive legal counsel on corporate transactions, including M&A, private equity investments, and other corporate structuring matters.
• Lead negotiations and drafting of transaction documents including agreements, letters of intent, and due diligence reports.
• Work closely with clients to understand their business needs and tailor solutions to optimize their corporate strategies.
• Manage complex transactional matters from inception to completion with minimal supervision.
• Collaborate with senior attorneys and various departments to ensure seamless transaction execution.
• Conduct legal research and analyze the regulatory and legal implications of corporate deals.
• Assist with business development efforts, including client relationship management and networking.
• Supervise junior associates and support staff on relevant matters.

Requirements:

• 3-7 years of experience in M&A and private equity transactions within a corporate legal environment.
• Strong ability to manage multiple, complex matters simultaneously and work in a fast-paced setting.
• Exceptional writing, analytical, and communication skills.
• Proven track record of managing significant corporate transactions and providing strategic legal advice to clients.
• Ability to work effectively both independently and as part of a collaborative team.

Education:

• Juris Doctor (J.D.) degree from an ABA-accredited law school.

Certifications:

• Admission to the Florida Bar or eligibility to obtain admission promptly.
