A law firm seeks a junior associate with 2-3 years of experience in private investment fund formation and related matters in Stamford, CT. The ideal candidate will have experience advising fund sponsors on drafting and negotiating core fund documents and a basic understanding of fund terms and issues impacting private investment fund sponsors and investors.

Duties

• Advise fund sponsors on drafting and negotiating core fund documents.
• Draft placement memoranda, partnership agreements, subscription agreements, and side letters.
• Review fund and co-invest documentation for institutional investors.

Requirements

• 2-3 years of experience in private investment fund formation.
• Experience at a large law firm or in-house preferred.
• Basic knowledge of fund terms and issues impacting sponsors and investors.
• Familiarity with relevant securities rules and regulations.

Education

• Juris Doctor (JD) degree required.

Certifications

• Bar admission in the state of Connecticut preferred.
