Job Overview

A leading national law firm is seeking a Senior Associate to support its growing Corporate and Private Equity practice group. This is a key lateral opportunity for an experienced transactional attorney to handle high-level private equity matters, including acquisitions, fund formation, and strategic advisory work. The role offers access to a broad, well-established client base and a collaborative legal team with a national footprint.

Location

• Pittsburgh, PA

Duties

• Serve as lead associate on complex private equity transactions, including:

  • Leveraged buyouts

  • Minority and junior capital investments

  • Roll-up transactions

  • Independent sponsor transactions

  • “Going private” deals

  • Distressed company acquisitions (in and out of bankruptcy)

• Represent general partners, emerging fund managers, and institutional investors

• Structure and form private equity, venture capital, growth equity, mezzanine, and real estate funds

• Draft, review, and negotiate transactional and fund documents

• Maintain direct client interaction with minimal supervision

• Collaborate with attorneys across multiple offices on national platform matters

Requirements

• 5 to 7 years of relevant legal experience in private equity transactions

• Proven ability to lead deal processes independently

• Demonstrated experience representing both sponsors and investors

• Admission to the Texas State Bar (in good standing)

• Strong interest in building long-term client relationships

• Track record of working within a sophisticated legal environment

Education

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications

• Active license to practice law in Texas

• Ability to manage multiple transactions and deadlines simultaneously

• Excellent communication and interpersonal skills

• Deep understanding of private equity market terms and fund structures
