Job Overview
A law firm seeks an Emerging Companies and Venture Capital Associate in Salt Lake City. The ideal candidate will have 3 to 5 years of experience representing startups, emerging growth, and technology companies, as well as venture capital investors.

Duties

• Counsel founders and emerging companies on entity formation and corporate governance.
• Draft and negotiate venture capital financing documents.
• Advise on convertible note and SAFE transactions.
• Provide guidance on general corporate matters throughout the growth cycle.
• Collaborate with attorneys across various practice areas.

Requirements

• Substantive experience in venture capital financings and technology transactions.
• Familiarity with market-standard venture financing terms and documentation.
• Experience advising both company-side and investor-side clients.
• Strong academic credentials and relevant law firm experience.
• Bar admission or eligibility to obtain admission promptly in the home office location.

Education

• Juris Doctor (JD) degree.

Certifications

• Bar admission in the relevant jurisdiction.

Skills

• Deep fluency in legal and commercial frameworks for ECVC transactions.
• Experience with Delaware corporate law and startup equity compensation plans.
• Strong negotiation and drafting skills.
