Job Title: Junior/Mid-Level Fund Formation Associate Attorney
Job Overview:
A highly regarded law firm based in Austin, TX, is seeking a junior to mid-level attorney to join its investment funds team. The role is centered on advising clients in the formation, structuring, and ongoing management of private investment vehicles, particularly in the venture capital and growth equity space. This position offers the opportunity to work closely with premier fund sponsors across the U.S. and abroad, delivering tailored legal solutions throughout the fund lifecycle.
Duties:
Drafting and negotiating fund formation documents, including limited partnership agreements, LLC operating agreements, side letters, and offering materials
Supporting clients on legal and regulatory issues related to fund management and investor relations
Advising on compliance with federal securities laws such as the Investment Company Act and Investment Advisers Act
Counseling on fund governance and internal matters such as ownership transitions, employment and advisory agreements, and intercompany arrangements
Providing guidance on tax considerations, structuring investments, and navigating regulatory challenges
Assisting in general legal support for fund managers, including conflict resolution, admission of partners, and internal restructures
Requirements:
1 to 5 years of relevant legal experience
Prior experience at a major law firm with a focus on fund formation, asset management, or private equity
Strong writing, analytical, and communication skills
Demonstrated ability to work collaboratively and manage complex projects with sophisticated clients
Education:
Juris Doctor from a top-tier U.S. law school
Academic excellence is strongly preferred
Certifications:
Active Bar membership in Texas or California preferred
Must be in good standing with a U.S. State Bar
Skills:
Deep understanding of private fund structures and securities regulations
Comfort with client interaction and advisory work
Proficient in drafting transactional documents and regulatory filings
Ability to manage multiple workstreams and deadlines efficiently
Collaborative approach with strong interpersonal instincts
