Job Overview:
A nationally recognized law firm is seeking a Senior Counsel with 8+ years of experience to join its Pensions, Benefits & Investments practice group. This role involves advising clients on private fund investments across asset classes and public market transactions. Ideal candidates will have extensive experience on either the manager or investor side, and must be comfortable handling significant transactional responsibilities independently. The position is available in any of the firm’s U.S. office locations and offers the opportunity to contribute to high-level client work in a collaborative legal environment.

Duties:
Advise on private funds investments and public market transactions across multiple asset classes
Handle transactional matters on behalf of both fund managers and institutional investors
Manage complex deal components independently and provide high-level client service
Collaborate with partners and cross-office teams to execute investment strategies
Analyze and negotiate fund documentation, side letters, and investment management agreements
Support clients in structuring, reviewing, and documenting investment vehicles
Ensure compliance with applicable fiduciary and regulatory requirements
Requirements:
Minimum of 8 years of experience practicing in pensions, benefits, investments, or related areas
Significant background in private funds and public market investment transactions
Demonstrated ability to handle sophisticated legal work independently
Excellent organizational, analytical, and communication skills
Proven experience balancing multiple transactions and priorities effectively
Education:
Juris Doctor (J.D.) from an accredited law school
Strong academic credentials preferred
Certifications:
Must be admitted to the Bar in the state corresponding to the office in which the candidate applies
Skills:
Deep knowledge of private funds, securities regulations, and investment vehicles
Strong drafting and negotiation abilities
Capacity to deliver business-oriented legal advice to institutional clients
Team-oriented approach with the ability to mentor junior attorneys if needed
High level of professionalism and client relationship management
