Senior Counsel-Commercial Transactions

The candidate will be providing excellent legal advice and counsel to a broad assortment of clients on a variety of topics with a particular emphasis on complex commercial transactions. Providing cross-functional transactional legal support to business, colleagues, and leaders. Drafting and negotiating complex commercial contracts with little escalation. Identifying issues and risks related to areas such as IP ownership, data protection, privacy laws, indemnification, limitation of liability and regulations and emerging trends in contracts. Bringing structure, uniformity, and efficiency to the legal department’s transaction work. Developing best practices and procedures that will mitigate the company’s risk. Developing contract governance including playbooks, alternate contract provisions, templates and training material. Identifying the need for legal support for business transactions and projects. Collaborating with internal and external stakeholders. Working independently with minimal guidance from the Managing Counsel. Supporting Global Procurement. Should have  5 years of legal experience. Have demonstrated excellence in drafting complex commercial transactions in a retail context. Law degree from an accredited law school and license to practice law in at least one state. Experience working on cross-functional teams to move projects forward by gaining the support needed. Proven track record of risk identification, assessment, and mitigation. Excellent written and oral communication skills. Demonstrated bias towards action and innovation.
