Job Overview:
A prominent law firm based in Chicago, IL, is actively seeking a mid-level associate attorney to join its Insurance Regulatory and Transactional team. The role focuses on providing strategic legal support to clients navigating complex insurance compliance requirements, corporate transactions, and regulatory frameworks. The ideal candidate will bring prior experience in fund structuring, investment advisory matters, or broker-dealer governance, and a strong grasp of the legal issues impacting the insurance and financial services industries.

Duties:

• Provide legal guidance on compliance with insurance-related regulations at the state and federal levels

• Assist in structuring and executing transactions, including M&A, reinsurance deals, and corporate reorganizations

• Draft and negotiate agreements involving insurance entities, investors, and service providers

• Advise on fund formation and investment management matters

• Conduct regulatory due diligence and support licensing, filings, and related matters

• Liaise with regulatory authorities on behalf of clients

• Monitor legislative and regulatory developments affecting the insurance industry

• Collaborate closely with internal teams and clients to align legal strategies with business goals

Requirements:

• Minimum 3 years of experience in insurance regulatory, investment management, or broker-dealer legal practice

• Familiarity with transactional structures within the insurance and financial services sectors

• Strong analytical skills and attention to detail

• Excellent legal research, writing, and communication skills

• Demonstrated ability to manage multiple projects efficiently

Education:

• Juris Doctor (JD) from an accredited U.S. law school

Certifications:

• Admission to and good standing with the Bar in Illinois or eligibility to waive in

Skills:

• In-depth knowledge of NAIC regulations, SEC rules, and other applicable financial services laws

• Practical experience with fund formation documents and compliance programs

• Strong interpersonal skills and professional judgment

• Ability to work independently and in team settings
