Corporate Legal Counsel
Responsibilities: Managing transactions and advising management on key deal terms and associated risks. Reviewing, drafting, and negotiating a wide range of agreements related to the Company’s US commercial operations and business development, including in- and out-license agreements, development agreements, manufacturing agreements, and other types of business collaboration agreements. Experience handling agreements for business operations in Europe is a plus but not required. Managing a high volume and variety of transactions. Providing practical legal advice and support directly to clients in a fast-paced environment with a high level of professionalism. Being an active member of the Company’s global Center of Excellence for transactions, which is responsible for enabling best practices globally and regionally in transactions, including implementing contract templates and contract management processes, and leveraging digital technology in collaboration with the Company’s Digital Process Excellence team. Training and guiding business teams on the use of contract templates, relevant legal issues, and good contracting practices. Keeps informed of new laws, regulations, and industry trends affecting the Company, and assists with development of policies and training as needed.
