Job Overview

A prominent national law firm is seeking a Corporate Trust Associate Attorney to join its Finance & Restructuring practice group. This hybrid-role position is ideal for candidates with 2–4 years of transactional legal experience who are interested in representing financial institutions and corporate trust clients in a broad array of transactions. Matters may include structured finance (RMBS, CMBS, ABS), municipal and corporate debt issuances, finance facilities, and document custody arrangements. This opportunity offers involvement in high-value, sophisticated deals across a diverse client base.

Duties

  • Represent financial institutions and trust companies in complex corporate trust transactions

  • Draft, review, and negotiate a range of transactional documents, including:

    • Trust indentures

    • Loan agreements

    • Account control and custodial agreements

    • Pooling and servicing agreements

    • Agency, disbursement, master services, and NDA documents

  • Provide counsel on structured finance, corporate and municipal debt, and other financing arrangements

  • Manage multiple matters simultaneously while maintaining attention to detail and deadlines

  • Work closely with a collaborative legal team and interface directly with clients

Requirements

  • 2–4 years of transactional experience in finance, structured products, or related corporate matters

  • Strong background in reviewing and negotiating commercial and financial contracts

  • Demonstrated ability to manage multiple assignments and transactions

  • Strong written and verbal communication skills

  • Client-focused mindset with responsiveness and professionalism

Education

  • Juris Doctor (J.D.) from an accredited law school

  • Strong academic performance preferred

Certifications

  • Admission to the bar in the relevant state or eligible for prompt admission

Skills

  • Excellent legal drafting and contract negotiation abilities

  • Proficient in managing timelines and multitasking across projects

  • Clear, persuasive communicator with strong client service skills

  • Ability to work independently and in collaborative team settings

  • Detail-oriented with sound business and legal judgment
