Job Overview:
A nationally recognized AmLaw 200 law firm is seeking an experienced Corporate Securities Attorney to join its Corporate Business Unit. This role focuses on regulatory filings, securities compliance, and advising clients on corporate governance matters. The position offers flexible placement across multiple U.S. offices and the opportunity to work collaboratively in a fast-paced, growth-oriented legal environment.

Duties:
Prepare and submit filings to the Securities and Exchange Commission (SEC), FINRA, NYSE, Nasdaq, and OTC Markets Group.
Advise clients on securities law compliance, reporting requirements, and disclosure obligations.
Draft, review, and edit securities disclosure documents, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements.
Support public and private offerings of securities.
Collaborate with corporate and business teams to provide comprehensive legal services to clients.
Monitor and interpret regulatory developments impacting securities law and corporate governance.
Requirements:
5–12 years of experience in corporate securities law.
Demonstrated ability to manage multiple projects and meet deadlines.
Strong attention to detail and a commitment to quality service.
Effective interpersonal and communication skills.
Must be licensed in the jurisdiction of residence or eligible for admission without examination.
Education:
Juris Doctor (JD) from an accredited law school.
Certifications:
Active license to practice law in a U.S. jurisdiction or eligibility for admission without examination.
Skills:
Strong expertise in securities filings and regulatory compliance.
Advanced legal drafting, research, and analytical abilities.
Ability to work effectively both independently and as part of a collaborative legal team.
Proficiency in advising on public and private securities transactions.
Skilled in client relationship management and service excellence.
