Job Overview

A law firm seeks a midlevel associate with three to five years of large law firm experience to join their investment management practice in Philadelphia, PA. The ideal candidate will have a strong background in forming private investment funds and structuring documentation for management entities.

Duties

• Form private investment funds, including hedge funds, venture capital funds, and private equity funds.
• Structure and draft documentation for upper-tier management entities and bonus and carry plans.
• Work on secondary transactions, including GP-led restructurings.
• Assist with investments by institutional investors in private funds and co-investments.

Requirements

• Three to five years of experience in a large law firm.
• Familiarity with private fund structures and relevant laws and regulations.
• Active member of the bar in the state of the office location.

Education

• Juris Doctor (JD) degree required.

Certifications

• Bar admission in the relevant state.

Skills

• Strong analytical and drafting skills.
• Excellent communication and interpersonal abilities.
• Ability to manage multiple projects and meet deadlines.
