A law firm seeks a mid-level associate to join its Investment Funds Practice Group. This role involves advising clients on the formation, operation, and governance of private investment funds across various asset classes, including private equity, real estate, credit, and buyout funds. The position requires extensive client interaction, negotiation, and regulatory advisory work, along with opportunities to oversee and mentor junior associates. The ideal candidate will have significant experience working at an international law firm in investment fund transactions and regulatory matters.
Counsel sponsor clients on structuring and managing private investment funds, including cross-border and domestic funds.
Draft and negotiate fund-related agreements such as limited partnership agreements, investment management agreements, and side letters.
Advise institutional investors on fund investments and conduct due diligence.
Provide regulatory guidance on corporate governance, securities laws, and investment transactions.
Oversee legal due diligence processes, identifying and mitigating transactional risks.
Collaborate with partners, specialists, and junior associates to support clients throughout the fund lifecycle.
Assist with business development initiatives, including client relationship management and market research.
Supervise and train junior associates and summer associates, reviewing legal documents and providing mentorship.
Monitor and interpret changes in relevant laws and regulations to ensure compliance.
Participate in firmwide administrative initiatives and contribute to training programs.
Minimum of three (3) years of experience at an international law firm in investment funds or related legal fields.
Strong expertise in private investment fund formation and operations, including private equity, real estate, and credit funds.
Experience representing institutional investors in fund transactions and negotiations.
Familiarity with securities laws, corporate law, and fund regulatory matters.
Proven ability to handle complex legal research and business negotiations.
Strong analytical, drafting, and client management skills.
Ability to work collaboratively in a fast-paced, high-volume environment.
Experience developing and presenting training materials for junior associates preferred.
Juris Doctor (J.D.) or foreign equivalent.
Admitted to practice law in the State of New York.
Excellent legal research and writing skills.
Strong negotiation and client communication abilities.
Ability to manage multiple priorities and deadlines efficiently.
Attention to detail with a high level of professionalism and discretion.
Leadership and mentoring skills to support junior team members.
