Secretary and General Counsel

The candidate serve as in-house legal counsel to the Company, providing advice and counsel to the Board of Directors, the President and CEO, and the other officers and managerial employees of the Company on all legal matters affecting the company. Actively participate as a member of the company’s senior management team, addressing important policy, planning, management and business issues facing the Company. Serve as Corporate Secretary, maintaining the official corporate records of the Company, including minutes of Shareholder and Director Meetings, making required governmental filings, and helping manage relations with shareholders not active in the business. Either personally or by engaging and supervising outside counsel, manage all legal matters for the Company, including negotiating and drafting contracts, financial agreements, litigation, environmental compliance, real estate transactions, legal compliance issues, human resource issues, 401k Plan matters, and tax planning. Also, provide counsel to the Family Foundation associated with the Company. Keep the management of the Company up-to-date on new and pending changes in laws and regulations at the local, state, and federal levels. Serve as public spokesperson for the Company to the press and at public meetings, as directed by the President and CEO.
