A law firm in Manchester, NH, is seeking a Corporate Attorney with a strong background in representing and advising closely held businesses. The ideal candidate will have extensive experience in entity formation, corporate governance, and contract drafting and negotiation. This role requires excellent academic credentials, exceptional communication and writing skills, and a demonstrated ability to lead and manage business transactions.

Duties:

• Provide legal counsel and strategic advice to closely held businesses.
• Assist clients with entity formation and structuring.
• Advise on corporate governance matters, including board meetings and shareholder relations.
• Draft and negotiate a variety of business contracts, including operating agreements, shareholder agreements, and commercial leases.
• Lead and manage business transactions such as mergers, acquisitions, and joint ventures.
• Conduct due diligence and risk assessments for corporate transactions.
• Prepare and review corporate documents, including articles of incorporation, bylaws, and resolutions.
• Collaborate with clients and internal stakeholders to achieve business objectives.
• Stay updated on relevant laws and regulations affecting corporate clients.
• Maintain strong client relationships and provide exceptional client service.
• Perform other duties as assigned.

Requirements:

• 5-7 years of experience as a Corporate Attorney.
• Extensive experience representing closely held businesses.
• Strong understanding of entity formation, corporate governance, and contract law.
• Excellent academic credentials from a reputable law school.
• Admission to the Bar in New Hampshire.

Education:

Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

Admission to the New Hampshire State Bar.
